Job Details We are seeking an experienced, highly motivated Senior Corporate Governance Paralegal to join our Corporate Secretarial team. This is a specialized corporate governance role supporting a large and complex portfolio of legal entities. The ideal candidate will bring experience in corporate secretarial, entity management, governance, and/or corporate transactional work and will be comfortable supporting senior executives, board members, attorneys, and cross-functional business partners. This person should be highly detail-oriented, technologically comfortable, and able to manage multiple priorities in a fast-paced environment. We are also looking for someone interested in thoughtfully incorporating enterprise AI and legal technology into day-to-day governance workflows. What You'll Do Support meetings of the Board of Directors and board committees, including preparing resolutions, board books, meeting materials, and communications with attendees. Maintain and update corporate entity information for a large portfolio of subsidiaries, joint ventures, and other investments. Serve as a key resource for internal corporate governance platforms, including the organization's corporate register and transaction document repositories. Draft and manage documentation related to entity formations, mergers, reorganizations, dissolutions, and foreign qualifications across various jurisdictions. Maintain relationships with registered agents and other external corporate service providers. Prepare and maintain organizational charts, corporate records, and entity information. Draft and manage board and shareholder minutes, annual meeting materials, director and officer elections, banking resolutions, and other corporate approvals. Partner with departments including Tax, Finance, Treasury, Internal Audit, and other business functions on corporate governance matters. Respond to domestic and international Know Your Customer (KYC) requests and assist with beneficial ownership and transparency filings. Support regulatory filings and other corporate compliance matters. Prepare summaries of acquisitions and other corporate transactions. Assist the corporate legal team with due diligence and the preparation, organization, and management of transaction-related documentation. Conduct online legal and factual research. Communicate and coordinate with internal stakeholders, outside counsel, vendors, agencies, and other external partners. Provide additional organizational and administrative support to the Corporate Secretarial team as needed. AI & Legal Technology Technology is becoming an increasingly important part of how the legal team operates. In this role, you will have the opportunity to: Use approved enterprise AI and legal technology tools to assist with legal research, document preparation, summarization, and corporate governance workflows. Help identify opportunities to improve efficiency within the Corporate Secretarial function through AI and automation. Develop and document reusable prompts, templates, workflows, and quality-control practices. Stay current on evolving corporate governance practices and emerging legal technology. Help the team thoughtfully evaluate and adopt new tools while maintaining strong standards for accuracy, confidentiality, and quality. Prior experience with enterprise AI tools such as ChatGPT, Claude, or legal-specific AI platforms is helpful, but curiosity, good judgment, and a willingness to learn are equally important. What We're Looking For Bachelor's degree required. ABA-approved paralegal certificate is a plus. Minimum of 5 years of relevant law firm or in-house legal experience. Experience with corporate governance, corporate secretarial matters, entity management, and/or corporate transactional work. Experience supporting entity formations, reorganizations, board matters, corporate records, resolutions, minutes, or similar governance responsibilities. Strong Microsoft Office and Adobe Acrobat skills along with overall technical aptitude. Experience with online legal research tools; SharePoint experience is a plus. Strong attention to detail with a consistently high standard of work product. Excellent written and verbal communication skills. Ability to interact professionally and confidently with attorneys, senior executives, board members, and cross-functional stakeholders. Strong organizational skills and the ability to independently manage numerous projects and deadlines. Ability to prioritize effectively and exercise sound judgment when competing priorities arise. Strong interpersonal skills and a collaborative working style. Flexibility to work additional hours when necessary around transactions, board meetings, and other business-critical deadlines.
