About the Role
Direct Counsel is partnering with a leading Am Law firm to identify a mid-level associate for its Chambers-ranked real estate practice in Charlotte. This role offers the opportunity to work on sophisticated real estate finance transactions, particularly within the CMBS and CLO space, alongside a highly collaborative and high-performing team.

Key Responsibilities

  • Draft, review, and negotiate loan documents, including loan agreements, promissory notes, mortgages/deeds of trust, guarantees, and related ancillary documents
  • Represent institutional lenders, investment banks, and CMBS platforms in complex commercial real estate finance transactions
  • Structure transactions to comply with CMBS and CLO securitization requirements
  • Conduct and oversee due diligence, including review of zoning reports, leases, organizational documents, and third-party reports
  • Advise clients on rating agency criteria, securitization standards, and marketability considerations
  • Coordinate deal execution, including managing timelines and working with clients, opposing counsel, and third-party providers
  • Support post-closing matters and assist with loan reviews in preparation for securitization

Qualifications

  • 4-8 years of real estate finance experience
  • Significant experience representing lenders or financial institutions in CMBS and/or CLO transactions
  • Strong understanding of securitization structures, including ground leases, cash management, and related features
  • Excellent drafting, analytical, and organizational skills
  • Strong attention to detail and ability to manage multiple complex transactions simultaneously
  • Demonstrated ability to work effectively in a team-oriented, fast-paced environment

Requirements

  • Active membership in the North Carolina Bar or ability to waive in
  • Strong academic credentials and excellent writing skills

Compensation & Benefits
This position offers a competitive salary range of $310,000 - $435,000, commensurate with experience and qualifications.
