Compensation & Benefits- Base Salary Range: $100,000-$140,000 DOE

Position OverviewOur client is seeking an experienced
Corporate Paralegal to support attorneys in a Los Angeles-based corporate practice. This role focuses on
corporate governance and transactional matters and is not litigation-oriented.
Qualifications- 3-10+ years of corporate paralegal experience
- ABA-approved paralegal certificate required
- Law firm experience strongly preferred
- Experience supporting multiple attorneys and managing complex transactional workflows
Practice Areas Supported- Mergers & acquisitions
- Private equity and venture capital
- Corporate governance and maintenance
- Securities (public and private)
- Corporate finance and licensing
Key Responsibilities- Draft and review corporate organizational and transactional documents
- Assist with due diligence, including document review and disclosure schedules
- Maintain corporate minute books, stock ledgers, and entity records
- Prepare and file documents with the SEC, IRS, and Secretaries of State
- Prepare UCC financing statements and obtain EINs
- Support contract processes through execution
- Prepare corporate filings, reports, and statutory summaries
Preferred Experience- Hands-on M&A and private equity transactions
- Corporate maintenance, including minute books and stock ledgers
- Multi-jurisdictional filings
