Salary: $290,000 - $310,000 per year A bit about us: We are a highly respected AmLaw firm with a sophisticated Corporate practice advising companies, investors, founders, and other business clients on complex transactional matters across a broad range of industries. Our Corporate team handles mergers and acquisitions, divestitures, strategic alliances, joint ventures, corporate governance, securities matters, financing transactions, and other sophisticated corporate work. The practice represents both public and private companies, with a particular strength in advising middle-market businesses throughout the lifecycle of a transaction. The team advises clients from the earliest stages of a potential transaction through closing and beyond, providing practical, business-focused guidance on issues ranging from transaction structure and due diligence to negotiation, documentation, regulatory considerations, and post-closing matters. The practice also has significant experience with cross-border transactions, including acquisitions, dispositions, and strategic alliances involving U.S. and international businesses, as well as regulatory matters involving CFIUS and other governmental agencies. The platform combines the resources and capabilities of a large, full-service law firm with a more streamlined and collaborative approach. Attorneys work closely with clients and colleagues across practice areas to deliver sophisticated legal solutions while remaining focused on the client's business objectives. Job Details The ideal candidate will have 5+ years of law firm experience with a strong background in general corporate work, particularly M&A, securities, and/or lending/finance matters. Candidates should enjoy working across a broad-based corporate practice and be comfortable taking ownership of sophisticated transactional matters. Responsibilities Advise clients on mergers and acquisitions, divestitures, private securities offerings, corporate governance, and other general corporate matters Draft, review, and negotiate sophisticated transactional documents, including purchase agreements, merger agreements, shareholder agreements, confidentiality agreements, and related documentation Conduct and oversee legal due diligence and prepare findings and reports for clients Assist clients with transaction structuring and strategic considerations throughout the deal process Manage transactions from initial discussions through negotiation, signing, and closing Coordinate with attorneys across practice groups and jurisdictions to address legal and regulatory issues arising during transactions Work directly with clients and senior attorneys to provide practical, business-oriented advice Supervise and mentor junior associates and paralegals on transactional matters Stay current on developments in corporate, securities, and transactional law Assist with public-company and securities compliance matters as needed Participate in negotiations and other client-facing matters Contribute to a broad-based corporate practice with exposure to a variety of transaction types and industries Qualifications J.D. from an accredited law school 5+ years of law firm experience Strong background in general corporate, M&A, securities, and/or lending/finance work Strong understanding of corporate law, securities regulations, and corporate governance Excellent drafting, negotiation, research, and analytical skills Ability to manage multiple sophisticated transactions and competing deadlines Strong attention to detail and sound legal judgment Excellent written and verbal communication skills Ability to work independently while contributing effectively within a collaborative team Demonstrated ability to manage and oversee junior attorneys and support staff Interested in hearing more?
