Corporate Associate (Mid-Level)

Position: Corporate Associate (Mid-Level) Location: Los Angeles, CA Experience Required: 5-7 years Salary Range: $265,000-$300,000 annually Required Qualifications Seeking a mid-level Corporate Associate with significant experience in venture capital, emerging companies, equity financings, and corporate transactions. Preferred Qualifications Compensation: $265,000-$300,000 annually. Represent emerging growth companies and venture capital investors in equity financings from seed through Series B and later-stage rounds. Lead and manage transactions from term sheet through closing, including drafting and negotiating primary transaction documents. Handle SAFEs, convertible notes, and preferred stock financings. Advise clients on mergers and acquisitions (M&A) and general corporate transactional matters. Counsel emerging companies on corporate governance, cap table management, startup lifecycle issues, and strategic business matters. Build and maintain long-term client relationships while supporting business development initiatives. J.D. from an accredited law school. 5-7 years of corporate transactional experience. Strong experience with venture capital financings, emerging companies, and M&A transactions. Experience managing transactions from term sheet through closing. Knowledge of SAFEs, convertible notes, preferred stock financings, corporate governance, and cap table management. Excellent client management, communication, and transactional drafting skills. Experience representing both emerging companies and venture capital investors. Interest in developing into a well-rounded business lawyer with long-term client relationships.
